A consortium comprising Singapore-listed food and beverage player BreadTalk Group’s chairman George Quek Meng Tong and his wife Katherine Lee Lih Leng has launched a take-private offer aiming to delist the business. The consortium, which also includes Thai hospitality group Minor International PCL, will carry out the voluntary conditional cash offer to acquire the ordinary shares of the company through a special purpose vehicle called BTG Holding Company, according to anannouncement.
The offer price of S$0.77 per share represents a 19.4 per cent premium over BreadTalk’s closing price Friday, and a premium of approximately 30.1 per cent over the one-month volume weighted averageprice.
The shareholders collectively own around 70.53 per cent in the Singapore-based F&B firm. United Overseas Bank Limited is the sole financial adviser for the consortium, the company said. “Against the backdrop of a challenging macro and operating environment which had negatively impacted the group’s businesses in China, Hong Kong and Thailand, the offer represents an attractive cash exit opportunity for BreadTalk shareholders to realise their entire investment at a premium to the prevailing market prices, without incurring brokerage and other trading costs,” BreadTalk Group said. It added that privatising the business will create more flexibility to address these challenges as well as help it optimise the use of management and resources. BreadTalk has not carried out any exercise to raise equity capital on the mainboard of the Singapore Exchange over the last 10 years, according to the firm. It also projected no necessity for access to the capital markets in the foreseeable future. In addition, the delisting is also expected to help BreadTalk Group save costs in terms of maintaining its listed status. The company reported a net loss of $5.2 million in 2019 compared to a net profit of $15.2 million in 2018, mainly due to the losses from its bakery and 4orth divisions. In 2019, BreadTalk Group completed acquisitions of several domestic and overseas businesses, including 100 per cent stake in Food Junction Group, strategic stake at NPPG Thailand and Food Republic GuangzhouF&B Management.
